1. Introduction

Welcome to RAILSPARE (“we,” “our,” or “us”). By subscribing to our service, you (“Subscriber,” “you,” or “your”) agree to be bound by these Terms and Conditions. Please read them carefully before using our services.

2. Description of Services

Our service allows Subscribers to receive Requests for Quotations (RFQs) from companies seeking quotes for products in categories selected by the Subscriber. Subscribers will receive RFQs via the email specified during registration.

3. Subscription Fees and Payment

3.1. The subscription fees depend on the number of product categories selected by the Subscriber during registration. These price are available on RAILSPARE website at the page https://www.railspare.com/supplier. Following the registration, the Subscriber will receive an invoice summarizing the order. Subscription fees are payable in advance on a monthly or yearly basis, depending on the chosen subscription plan.

3.2. Payment methods include bank transfer to RAILSPARE bank account as specified on the invoice received by the Subscriber after the registration form has been sent.

3.3. Late payments may result in suspension or termination of the service.

4. Subscription Start Date

Your subscription will begin on the date you specify during registration or as confirmed by us in the subscription confirmation email.

5. Refund Policy

If you do not receive any RFQs within three months from the start of your subscription, you may be eligible for a refund of your subscription fee. Refund requests must be made in writing and are subject to verification.

6. Subscriber Responsibilities

6.1. You are responsible for providing accurate and up-to-date contact information to ensure proper delivery of RFQs.

6.2. You agree to respond to RFQs in a professional and timely manner to maintain the quality of the service.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of this agreement, including RFQs.

8. Data Protection

We comply with all applicable data protection laws. By subscribing, you agree to our Privacy Policy, which governs how we handle your data.

9. Limitation of Liability

9.1. We do not guarantee the number or frequency of RFQs you will receive.

9.2. We are not liable for any losses incurred due to delays, interruptions, or inaccuracies in the RFQs forwarded.

9.3. Our total liability under this agreement will not exceed the total subscription fees paid by you in the preceding 12 months.

10. Termination

10.1. You may terminate your subscription at any time by providing written notice to us. Refunds will not be issued for unused subscription periods unless stated otherwise in Section 5.

10.2. We reserve the right to terminate your subscription for non-payment or breach of these Terms and Conditions.

11. Amendments to Terms

We may update these Terms and Conditions from time to time. Changes will be effective immediately upon posting on our website. Continued use of the service constitutes acceptance of the revised terms.

12. Governing Law and Dispute Resolution

These Terms and Conditions are governed by the laws of France. Any disputes will be resolved through mediation.
